Please read these Terms of Service ("Terms," "TOS") carefully before using InstroLyrico ("the Platform," "the Service," "we," "us," or "our"). By accessing or using InstroLyrico, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
InstroLyrico is a music generation platform that provides Users with access to multiple artificial intelligence music generation models through a unified interface. The Platform integrates both proprietary and third-party AI models to enable Users to create AI-generated music, including instrumentals and vocal tracks, from text prompts, lyrics, and other inputs.
InstroLyrico provides access to AI music generation models developed and maintained by independent third-party providers ("Model Providers"). The Platform utilizes a curated selection of AI models accessed through direct integrations and third-party API infrastructure platforms ("API Platforms").
InstroLyrico's primary music generation capabilities are powered by a select group of core AI models ("Core Models") whose developers have publicly disclosed licensing agreements with music rights holders for AI training data. The developers of these Core Models have entered into verified licensing arrangements with recognized music rights organizations, labels, publishers, or content libraries, ensuring that the training data used to develop these models was obtained with appropriate authorization and compensation to rights holders.
In addition to the Core Models, InstroLyrico may provide access to supplementary AI music generation models ("Supplementary Models") sourced through third-party API Platforms. These Supplementary Models are developed by independent third parties, and their training data, datasets, and licensing arrangements are determined solely by the respective Model Providers and are not within InstroLyrico's control or knowledge.
InstroLyrico does not train, develop, fine-tune, or modify any AI models. We access all models exclusively through commercially available APIs provided by the respective Model Providers and API Platforms. InstroLyrico has no visibility into, control over, or responsibility for the composition of any model's training data, the licensing arrangements (or lack thereof) between Model Providers and rights holders, or the internal development practices of any Model Provider.
While InstroLyrico makes reasonable efforts to identify and prioritize models with publicly verifiable training data licensing for its Core Models, we make no representations or warranties regarding the training data, licensing status, or legal compliance of any Supplementary Model accessible through the Platform. Users who require the highest degree of certainty regarding training data provenance should limit their use to the Core Models, which are identified within the Platform interface.
The specific identity, configuration, and selection of AI models used by InstroLyrico, including the names and providers of Core Models and Supplementary Models, constitutes confidential and proprietary business information of InstroLyrico. Users agree not to attempt to identify, reverse-engineer, or publicly disclose the specific models, providers, API Platforms, or technical infrastructure used by InstroLyrico.
AI-generated music created through InstroLyrico ("Generated Content") is produced by third-party AI models, not by InstroLyrico. Ownership, copyrightability, and intellectual property rights in Generated Content are subject to evolving legal standards and may vary by jurisdiction. InstroLyrico makes no representations or guarantees that Generated Content is copyrightable, unique, exclusive to you, or free from similarity to existing copyrighted works.
Due to the nature of AI music generation, Generated Content may be similar or identical to content generated for other users using the same or similar prompts. InstroLyrico does not guarantee that any Generated Content will be unique.
Users on paid plans may use Generated Content for commercial purposes, subject to and in accordance with the specific terms, license grants, and restrictions imposed by the applicable Model Provider. It is the User's sole responsibility to ensure compliance with all applicable terms governing the commercial use of Generated Content. InstroLyrico provides general guidance within the Platform interface regarding the commercial use status of its various generation engines, but such guidance is informational only and does not constitute a legal opinion or guarantee.
You are solely responsible for ensuring that your use of Generated Content does not infringe on the intellectual property rights, publicity rights, or any other rights of any third party. InstroLyrico does not provide legal clearance, rights verification, or copyright indemnification for Generated Content.
By using InstroLyrico, you agree not to:
The Platform and all Generated Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. InstroLyrico expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
InstroLyrico does not warrant that Generated Content will not infringe on the intellectual property rights or other rights of any third party. AI models generate content based on patterns learned during training, and there is an inherent risk that Generated Content may bear similarity to existing copyrighted works. Users assume all risk associated with the use, distribution, and commercialization of Generated Content.
InstroLyrico relies on third-party Model Providers and API Platforms for the AI models accessible through the Service. We do not control and are not responsible for the availability, accuracy, quality, safety, legality, or performance of any third-party model. Model Providers may modify, degrade, or discontinue their models at any time without notice to InstroLyrico or its Users.
To the maximum extent permitted by applicable law, InstroLyrico, its owners, officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Platform or any Generated Content, regardless of the theory of liability.
InstroLyrico shall not be liable for any claims, damages, losses, or expenses arising from intellectual property infringement claims related to Generated Content, including but not limited to claims arising from the training data, methods, or practices of third-party Model Providers. Any such claims relating to the training, development, or underlying data of AI models should be directed to the applicable Model Provider or API Platform.
In no event shall InstroLyrico's total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the total amount you have paid to InstroLyrico in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless InstroLyrico, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of AI models accessible through InstroLyrico is additionally subject to the terms of service, acceptable use policies, and license agreements of the applicable Model Providers and API Platforms through which those models are accessed. In the event of a conflict between these Terms and a Model Provider's terms regarding the use of their specific model or its output, the Model Provider's terms shall govern with respect to that model and its output.
By using the Platform, you acknowledge that the AI models powering InstroLyrico are developed and maintained by independent third parties, that these third parties maintain their own terms of service and policies governing the use of their models and generated outputs, and that InstroLyrico is not a party to and has no control over such terms. You agree to comply with all applicable third-party terms in addition to these Terms.
Access to certain features of the Platform requires payment. All fees are as stated on the Platform at the time of purchase.
All payments are final and non-refundable. AI music generation requires the use of computational resources from third-party infrastructure providers, and these costs are incurred irreversibly at the time of generation regardless of whether you are satisfied with the Generated Content. By making a payment, you acknowledge and agree that no refunds, credits, or chargebacks will be issued for any reason, including but not limited to dissatisfaction with Generated Content, model unavailability, or changes in model performance.
InstroLyrico does not guarantee the continued availability of any specific AI generation engine on the Platform. Generation engines may be added, removed, modified, or replaced at any time, with or without notice, for any reason, including but not limited to changes in Model Provider availability, licensing developments, legal considerations, or quality concerns.
InstroLyrico reserves the right to immediately remove or disable access to any AI generation engine at any time, for any reason, including in response to intellectual property claims, legal proceedings, cease-and-desist requests, changes in Model Provider terms, or at our sole discretion. Such removal shall not constitute a breach of these Terms and shall not entitle Users to any refund, credit, or compensation.
If you believe that Generated Content available through InstroLyrico infringes your copyrighted work, please submit a notice containing the following information to instrolyrico@gmail.com:
Upon receipt of a valid DMCA notice, InstroLyrico will respond in accordance with applicable law, which may include removing or disabling access to the identified content and, where appropriate, directing the claimant to the relevant Model Provider or API Platform responsible for the underlying AI model.
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration. Judgment on the arbitration award may be entered in any court having jurisdiction.
You agree that any claims shall be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
Your use of InstroLyrico is subject to our Privacy Policy. Please note that when you use certain generation engines through the Platform, your input data (including text prompts and lyrics) may be transmitted to third-party Model Providers and API Platforms. InstroLyrico encourages Users to review the privacy practices of third-party services involved in the generation process.
InstroLyrico reserves the right to modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on the Platform with a revised "Last Updated" date. Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of such changes.
InstroLyrico may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease. Sections 3, 5, 6, 7, 8, 12, and any other provisions that by their nature should survive termination shall survive.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and InstroLyrico regarding the Service and supersede all prior agreements and understandings.
